- Complete Bar to Action: If the Company cures, mitigates, or explains the compliance posture within said 60-day cure period, or if the alleged defect did not cause you actual, concrete, economic out-of-pocket loss (independent of statutory liquidated damages), you agree that you have suffered no actionable injury and you shall be permanently barred from initiating any lawsuit, arbitration, or administrative claim arising from the identified circumstance.
- Fee-Shifting Remedy for Premature Litigation: Any lawsuit, demand letter, or arbitration commenced without strict, full compliance with this Section 2 shall be deemed premature, vexatious, and subject to immediate dismissal or stay. You agree that the automated technical transmission of your IP address or client metadata to cloud networks or font endpoints (whether self-hosted or distributed) does NOT constitute the installation or operation of an unlawful “pen register” or “trap and trace device” under Cal. Penal Code § 638.51 or Greenley v. Kochava, Inc. (S.D. Cal. 2023), nor does it constitute an unauthorized transfer of personal data under Munich Regional Court (Landgericht München I, 3 O 17493/20). To the maximum extent permitted by law, you waive any private right of action, statutory claim, or class claim asserting statutory damages ($5,000 per visitor) predicated on standard HTTP client-server handshakes.
C. Operational Telemetry & Session Diagnostics Consent
To detect rendering glitches, state synchronization failures, input latency, and client-side crashes, the Site may utilize operational diagnostics, error logging, and performance telemetry scripts. You grant express bilateral written consent under Cal. Penal Code § 631 and all wiretap statutes to such operational monitoring. The Company implements strict client-side masking (data-private="true" and input obfuscation) to shield sensitive form fields and passwords from recording. You agree that temporary diagnostic logging of interface responsiveness does not constitute unlawful wiretapping, eavesdropping, or keystroke interception under Javier v. Assurance IQ, LLC (9th Cir. 2022) or related state authorities.

27. DISPUTE RESOLUTION: INFORMAL NEGOTIATIONS, BINDING ARBITRATION, MASS ARBITRATION & CLASS ACTION WAIVER
A. Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a “Dispute” and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least **ninety (90) days** before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party, satisfying the Notice of Alleged Statutory Defect procedure set forth in Section 2.
B. Binding Individual Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both of which are available at www.adr.org. The arbitration shall take place in Shawnee County, State of Kansas. If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Shawnee County, Kansas.
TO THE FULLEST EXTENT PERMITTED BY LAW, ALL CLAIMS AND DISPUTES MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE BASIS. YOU EXPRESSLY WAIVE ANY RIGHT TO COMMENCE, JOIN, PARTICIPATE IN, OR RECOVER THROUGH ANY CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION (INCLUDING PAGA OR UNRUH CIVIL RIGHTS ACT REPRESENTATIVE SUITS), OR JOINT LITIGATION PROCEEDING AGAINST THE COMPANY, BRYAN JONES, OR NLIGHTN LLC.
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
C. Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.
D. Mass Arbitration Protocol & Batching Framework
If twenty-five (25) or more similar arbitration demands are asserted against Company by or with the assistance of the same law firm or coordinated legal counsel within a ninety-day window, the claims shall be grouped into staged batches of twenty-five (25) claims per batch, resolved sequentially with all remaining claims stayed and tolling applicable statutes of limitations.

CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
31. INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, regulatory penalty, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions, media, photographs, and user uploads; (2) use of the Site; (3) breach of these Terms of Use; (4) any breach of your representations and warranties set forth in these Terms of Use (including age, minor access, and copyright ownership); (5) your violation of the rights of a third party, including but not limited to intellectual property rights, privacy rights, or publicity rights; or (6) any overt harmful act toward any other user of the Site with whom you connected via the Site.
Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.
